This Co-operative Marketing Agreement (the "Agreement") between Tendering for Contracts Training –(TfCT) and ( ) -- ( ) contains the complete terms and conditions which governs the association and participation of both (TfCT and XX) in the MARKETING of (XX's) products on Tendering for Contracts Training Web Site. As used in this Agreement, "TfCT " means Tendering for Contracts Training ., Lloyd Sewell means Director of Tendering for Contracts Training , ( xx ) means (xx ), "CO-OP MARKETING AGREEMENT" means Tendering for Contracts Training, acting as your RESALE PARTNER, "you" or "your" means you, (xx), Director of ( ), ( ).

By signing this "Agreement", you acknowledge that you have read the Agreement, you are able to enter into a legally binding contract, and you agree to its terms and conditions and all policies posted on the Tendering for Contracts Training web site. As referred to in this Agreement, "Web Site" refers to a World Wide Web and "Tendering for Contracts Training Web Site" refers to the Site located at the URL: http://www.tfc-training.com, or any other successor Site owned or maintained by Tendering for Contracts Training

  • Enrollment as a Products and Services RESALE PARTNER
    • ( ), in its sole discretion, may reject this application. If accepted, Tendering for Contracts Training will design, create and host a (web page) for you (" XX-MARKETING Page") and provide you with a Tendering for Contracts Training e-mail account (e.g."name@tfc-training.com"). You may request and (TfCT ) will (under normal circumstances) agree that your MARKETING Page on the TfCT web site should be modified/altered, This facility is at the sole discretion of Tendering for Contracts Training.

    Tendering for Contracts Training as a RESALE PARTNER agrees that it shall not post any links, banner advertisements, or other content of a competitor of ( ) on the ( ) MARKETING Page. Tendering for Contracts Training in its capacity as The RESALE PARTNER further agrees that the relationship of CO-OP RESALE PARTNER to ( ) is non-exclusive, and Tendering for Contracts Training shall not be restricted in any way from entering into CO-OP MARKETING AGENCY arrangements with other third parties.

    As a ( ) RESALE PARTNER, Tendering for Contracts Training agrees that it will not:(i) use or display any hypertext link on the CO-OP MARKETING Page which links to a web site that contains any other content not directly relating to ( ); (ii) post any content on the CO-OP MARKETING Page not relating to the activities of ( ); or (iii) in the process of acting as a ( ) RESALE PARTNER, use its e-mail address to transmit any material that: violates any UK / EU / International laws or regulations; infringes on any intellectual property rights (e.g., copyright, trademark, trade secret, patent or other proprietary rights) of ( ) or of any third party; is defamatory, misleading, obscene, or otherwise potentially damaging to the reputation of ( ), or the goodwill associated with any of ( ) trademarks, service marks, trade names or other sources ("Marks"); is threatening or harassing; is discriminatory based on gender, race, religion, ethnic origin or age, or promotes hate or violence against any individual or group; violates any ( ) policies; in its action as a RESALE PARTNER, send email content that contains viruses or other computer programs which may result in damage to ( ) or to any third party; or misrepresents ( ) or misleads potential customers regarding the Products and Services of ( ).

  • COMMISSION AND PAYMENTS
    •      Levels of commission payment. Tendering for Contracts Training has one- (1) "Level" payment structure. The Level corresponds to the number of items sold through TfCT web site directly or through referrals from other users of TfCT web site.

  • Commissions.
    • ( ) will pay a commission to Tendering for Contracts Training as a RESALE PARTNER for each paid for item purchased through user access or referrals from the TfCT web site.The commission paid by ( ) to TfCT will differ according to the "amount" that the TfCT as a RESALE PARTNER maintains. A First Level MARKETING Commission will mean an amount equal to 15 percent (15%) of the applicable purchase price paid to ( ) by a purchaser referred through the Tendering for Contracts Training web site.

  • Reports.
    • ( ) shall generate, manage and maintain all Qualified Purchases referred through TfCT web site and shall prepare an online report reflecting all Commissions earned by TfCT as a RESALE PARTNER for the applicable period. TfCT as a RESALE PARTNER may access its report via the Web or request update via email to determine the amount of Commissions that has been earned.

  • d. Non-Qualified Purchases.
    • TfCT as a RESALE PARTNER will not receive a Commission for "Non-Qualified Purchases." i.e. A Non-Qualified Purchase is where an end user purchaser of ( ) Products and Services, purchase these thorough any other source other than the TfCT web site.

  • e. Payments.
    • On or before the fifteenth (15th) day of each month, ( ) will tender Commissions Payment to TfCT as a RESALE PARTNER of its products and services during the previous month, TfCT will acknowledge receipt of all such payments received If, at the end of any month, TfCT as a RESALE PARTNER does not have payments due from ( ) of at least Fifty Pounds (£50) in accumulated Commissions, ( ) may retain any smaller payments that is due until the following month, all such actions must be communicated to TfCT via email. TfCT as a RESALE PARTNER is solely responsible for declaring and paying all taxes arising from commissions payments from ( ).

  • Termination.
    • TfCT as a RESALE PARTNER will receive Commissions so long as the agreement is in force and has not been terminated by either party. However, upon termination or suspension of the sales of Products and Services by TfCT , ( ) will without any delay pay all commissions due to TfCT on products and services sold through the TfCT web site.

  • Grant of Rights
    • Subject to all restrictions set forth in this Agreement, Tendering for Contracts Training will accept the position as a RESALE PARTNER of the products and services of ( ) through its web site, as a limited activity and the transaction is to be regarded as non-exclusive. Tendering for Contracts Training web site link(s)) are solely for the purpose of promoting the services as agreed. Except as expressly set forth herein, Tendering for Contracts Training will create Link(s) for the purpose of MARKETING the products and services of ( ) with the web site of ( ).

  • Term and Termination
    • This Agreement is effective as of the date you (( )) sign and date this agreement. Either TfCT as a RESALE PARTNER or (XX ) as the original product and services supplier may terminate this Agreement by email / letter / fax.Tendering for Contracts Training may also terminate this Agreement with ( ) without cause, upon sixty- (60) days written notice. Upon termination of this Agreement, TfCT as a MARKETING shall immediately cease use of, and remove from the MARKETING Page, any and all ( ) Links or other materials provided by ( ) as product and services supplier to Tendering for Contracts Training. Sections (4) shall survive termination of this Agreement.

  • Disclaimer of Warranty
    • THE Tendering for Contracts Training SITE AND THE MARKETING PAGE, INCLUDING WITHOUT LIMITATION, ALL PRODUCTS AND SERVICES DISPLAYED OR OFFERED ON THE Tendering for Contracts Training SITE, AND ALL TEXT,  GRAPHICS LINKS AND APPLICATIONS ARE PROVIDED TO ( ) ON AN "AS IS"-"AS AVAILABLE" BASIS AND WITHOUT WARRANTIES OF ANY KIND. Tendering for Contracts Training DISCLAIMS ALL WARRANTIES, EXPRESSED OR IMPLIED, WITH RESPECT TO EACH OF THE FOREGOING, WITHOUT LIMITATION, ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT OR ARISING FROM OR RESULT OF ANY DEALINGS. Tendering for Contracts Training DOES NOT GUARANTEE THAT THE CO-OP MARKETING PAGE WILL FUNCTION WITHOUT INTERRUPTION OR THAT IT WILL BE ERROR-FREE.

  • Limitation of Liability
    • IN NO EVENT SHALL Tendering for Contracts Training BE LIABLE FOR DAMAGES RESULTING FROM LOSS OF DATA, PROFITS, USE OF THE Tendering for Contracts Training WEB SITE, THE CO-OP MARKETING PAGE, OR ANY  Tendering for Contracts Training OTHER ACTIVITIES OR SERVICES; OR, FOR ANY INCIDENTAL, INDIRECT, PUNITIVE, OR CONSEQUENTIAL DAMAGES IN CONNECTION WITH THIS AGREEMENT OR IN CONNECTION WITH ANY PRODUCTS OR SERVICES PROVIDED HEREUNDER. IN NO EVENT SHALL Tendering for Contracts Training ' CUMULATIVE LIABILITY ARISING FROM THIS AGREEMENT OR THE SUBJECT MATTER HEREOF EXCEED THE TOTAL COMMISSIONS ACTUALLY PAID TO Tendering for Contracts Training AS A RESALE PARTNER HEREUNDER.

  • Miscellaneous
    • This Agreement, including all policies posted on the Tendering for Contracts Training Site, represents the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and/or contemporaneous agreements or understandings, written or oral, between the parties with respect to the subject matter hereof. This Agreement and Tendering for Contracts Training policies are subject to change by Tendering for Contracts Training at any time. Continued usage of the Services after a new policy is implemented and posted on the Tendering for Contracts Training Site, constitutes your acceptance of such change or policy.

    We encourage you to regularly check the Tendering for Contracts Training Site for any changes or additions. If any of the provisions, or portions thereof, of this Agreement are found to be invalid under any applicable statute or rule of law, then, that provision notwithstanding, this Agreement shall remain in full force and effect and such provision or portion thereof shall be deemed omitted. This Agreement and the rights granted and obligations undertaken hereunder may not be transferred, assigned or delegated in any manner by the provider of the hereunder products and services. Any waiver of any provision of this Agreement, or a delay by any party in the enforcement of any right hereunder, shall neither be construed as a continuing waiver nor create an expectation of non-enforcement of that or any other provision or right.

    This Agreement is made under, and shall be governed by and construed in accordance with, the laws of the United Kingdom, excluding its choice of law provisions. The parties acknowledge and agree that the courts located in the United Kingdom will have exclusive jurisdiction over any claim or action arising under or relating to this Agreement or the goods or services provided under this Agreement. The parties agree to waive application of the provisions of the United Nations Convention on Contracts for the International Sale of Goods.
